Legal representative’s powers and responsibilities

The powers of a legal representative are not clearly defined by PRC Company Law.

Nevertheless, a legal representative is clearly authorized to carry out all activities regarding the general management of a company according to the company’s principles and objectives.

This may include:

  • Acting (legally) to safeguard the company’s assets;
  • Providing powers of attorney (POA) on behalf of the company;
  • Authorizing legal representation of and litigation by the company;
  • Undertaking all sorts of legal transactions with respect to the nature and scope of that company’s
  • business.
